BENSALEM, Pa. --(Business Wire)--

Law Offices of Howard G. Smith announces that it is investigating potential claims against the Board of Directors of Material Sciences Corporation ("Material Sciences" or the "Company") (NASDAQ:MASC) related to the proposed acquisition of the Company by New Start Metals and Insight Equity Holdings. The transaction is valued at approximately $93.14 million, or $12.75 per share.

This investigation concerns whether the Board of Directors of Material Sciences breached their fiduciary duties to stockholders by failing to adequately shop the Company before agreeing to enter into the proposed transaction, and hether the Company has disclosed all material information to shareholders about the transaction. The Company has seen substantial recent growth. Its share price has skyrocketed from $8.85 on October 10, 2013 to $11.81 on December 31, 2013.
