On February 22, 2013, ITT disclosed that it was being investigated by the Securities and Exchange Commission ("SEC") and had received a subpoena requesting the production of documents and communications relating to its actions and accounting with respect to ITT's (a) agreements with an unaffiliated entity for loans to students to help pay the cost of education not covered by government financial aid, and (b) agreements with unrelated parties to create a program, called the PEAKS Private Student Loan Program, that made private education loans available to students to help pay the cost of education not covered by government financial aid. According to our investigation, from January 20, 2010 to February 22, 2013, ITT's financial statements were false and misleading in that ITT was engaging in improper accounting practices with respect to the agreements outlined above and subject to the SEC's investigation.
